一、职能转变
(一)取消的职责
1.取消市直国有企业改制方案的审批。
2.取消对企业国有资产产权的界定和纠纷调处。
3.根据《营口市人民政府职能转变和机构改革方案》需要取消的其他职责。
(二)增加的职责
1.按照干部管理权限,配合市委组织部门做好市属国有企业领导人员管理工作。按照市委决定,依据《中华人民共和国公司法》和企业章程代政府履行市属国有企业领导人员法定任免程序。代政府管理市属规模以下国有企业领导班子副职。
2.市属国有企业党的组织建设、思想建设、精神文明建设和党员教育、管理工作。
3.落实市属国有企业党风廉政建设和反腐败工作党委主体责任、纪委监督责任,加强廉洁从业风险防控,推进惩防一体化建设。
4.承接省政府下放的其他职责。
(三)加强的职责
1.强化市政府国有资产监督管理委员会履行多元投资主体出资公司股东职责,维护国有股东合法权益。
2.加强对市属企业董事会建设工作的指导。
3.强化国有资本运营职能,健全国有资本投资运营平台。
4.加强经济运行分析、调度,建立健全经济运行工作机制。
5.指导和推进国有企业履行社会责任工作。
6.加强市属国有企业资本收益收缴工作,推动国有资本经营预算执行,完善市属国有企业收入分配制度。
二、主要职责
(一)根据市政府授权,依照《中华人民共和国公司法》、《中华人民共和国企业国有资产法》等法律、法规和规章履行出资人职责;监管市属企业的国有资产,加强国有资产的管理工作。
(二)贯彻执行国家、省和市国有资产管理的法律、法规、规章和政策;起草国有资产监督管理的地方规范性文件;制定国有资产监督管理的有关政策和规章制度并监督执行;按照省政府规定,负责企业国有资产基础管理;依法对市(县)、区国有资产管理工作进行指导和监督。
(三)承担监督所监管企业国有资产保值增值的责任,指导和监督出资企业开展资本运营;建立和完善国有资产保值增值指标体系,拟订考核标准,对所监管企业国有资产的保值增值情况进行监督;负责所监管企业工资分配管理工作;制定所监管企业负责人收入分配政策并组织实施。
(四)负责组织、指导推进全市国有企业改革和重组;研究全市国有企业改革中的重大问题及有关政策,推进国有企业的现代企业制度建设,推动国有经济布局和结构的战略性调整。
(五)按照干部管理权限,配合市委组织部门做好市属国有企业领导人员管理工作;负责所监管企业领导班子建设,通过法定程序对企业负责人及班子成员进行任免、考核并根据其经营业绩进行奖惩;建立符合社会主义市场经济体制和现代企业制度要求的选人、用人机制,完善经营者激励和约束制度。
(六)按照有关规定,代表市政府向所监管企业派出监事会;审核监事会向市政府提交的监督检查报告;负责监事会的日常管理工作。
(七)负责组织所监管企业上交国有资本收益;按照国务院有关规定,参与制定本市国有资本经营预算有关管理制度和办法,向有关部门提出所监管企业的国有资本经营预算建议草案。
(八)负责市属国有企业党的组织建设、思想建设、精神文明建设和党员教育、管理工作;落实市属国有企业党风廉政建设和反腐败工作党委主体责任、纪委监督责任,加强廉洁从业风险防控,推进惩防一体化建设。
(九)按照出资人职责,负责督促检查所监管企业贯彻落实国家、省和市安全生产方针政策及有关法律、法规、规章及标准等工作。
(十)承办市委、市政府交办的其他事项。


I. The Transformation of function
   A. Abolished duties
    1. Cancellation of the approval toward the restructuring scheme of SOEs.

   B. Added responsibilities
    1. In accordance with the cadre management authority, we cooperate with the Municipal Organization departments for municipal state-owned enterprise leaders management. We fulfill the statutory dismissal procedures according to the municipal decision and "People’s Republic of China Company Law" as well as the articles of association on behalf of the municipal government-owned enterprise leaders. We manage the deputy leadership on behalf of the municipal government scaled below state-owned enterprises.
    2. The municipal state-owned enterprise party organizations, ideological construction, spiritual civilization construction and party education and management.
    3. The implementation of the municipal state-owned enterprises clean government and fighting corruption the main responsibility of party committees, discipline supervisory responsibilities, strengthen honest business risk control, and promote the integration of punishment and prevention.
    4. To undertake other duties delegated by the provincial government.
   C. Strengthened duties
    1. To strengthen Municipal State-owned Assets Supervision and Administration Commission to fulfill multiple investors invested shareholder responsibilities and safeguard the legitimate rights and interests of state-owned shareholders.
2. To strengthen the guidance of the Board of Directors of municipal enterprises construction.
3.To strengthen the functions of the state-owned capital operation, sound operation of state-owned capital investment platform.
    4.The improved economic analysis, scheduling, establish a sound working mechanism of economic operation.
    5. Guide and promote the state-owned enterprises to fulfill their social responsibilities.
    6. Strengthen municipal state-owned enterprises capital gains collection work and promote the implementation of state-owned capital operation budget, municipal state-owned enterprises to improve the income distribution system.
II. Main responsibilities
   (A) According to the municipal government authorization, in accordance with the "People’s Republic of China Company Law", "Peoples Republic of China State-owned Assets Law" and other laws and regulations to fulfill the responsibilities of investor, we supervise the municipal enterprises of state-owned assets and strengthen the management of state assets jobs.
   (B) We implement the national laws, regulations, rules, provincial policies and municipal state-owned assets management; and draft local normative documents of the State-owned Assets Supervision and Administration. We formulate relevant policies and regulations of state-owned assets supervision and administration and supervise the implementation; in accordance with provincial government regulations. We are also responsible for the basic management of state-owned assets; according to the law of the city (county), district-owned asset management guidance and supervision.
   (C) To undertake regulatory oversight of the corporate responsibility of state-owned assets, guidance and supervision of investment enterprises to carry out capital operation; establish and improve the index system of state-owned assets, the elaboration of assessment criteria for supervision of state-owned assets supervision and increasing the value of the case ; responsible for the supervision of the wage distribution business management; business executives to develop the regulation of income distribution policies and their implementation.
   (D) We are responsible for organizing, guiding the city’s state-owned enterprises to promote the reform and restructuring. It is also our duty to research on major issues and related policies of the city’s state-owned enterprise reform, promote the modern enterprise system in state-owned enterprises, promote strategic adjustment of the layout and structure of state-owned economy.
   (E) In accordance with the cadre management authority, with the Municipal Organization departments for municipal state-owned enterprise leaders management; enterprise leadership team responsible for the supervision of construction, through legal procedures for business executives and team members appointment, assessment and based on its results of operations rewards and punishments; the establishment of selection in line with the socialist market economic system and the modern enterprise system and employment mechanism, improve the business incentive and restraint system.
   (F) In accordance with the relevant provisions of the city government sent representatives to the supervision of the Supervisory Board. We are responsible for the supervision and inspection audit report submitted to the city board of supervisors; the supervisory board is responsible for daily management.
   (G) We supervise the state-owned enterprises turned over capital gains; in accordance with the relevant provisions of the State Council, in the development of the city’s state capital budget management system and related methods. We hand in the draft state capital budget proposal to the authorities.
   (H) We organize all the following acticities for municipal state-owned enterprise such as the party’s organizational construction, ideological construction, spiritual civilization and education of Party members, management. We implement the clean government and fight against corruption on the Party committees. We can discipline supervisory responsibilities, strengthen honest business risk control, and promote the integration of punishment and prevention.
   (I) In accordance with the responsibilities of investor, we have the duty for the supervision and inspection of the supervised enterprises to implement the national, provincial and municipal production safety policies and relevant laws, regulations, rules and standards work.
   (J) Undertake municipal other matters assigned by the municipal government.
